Misrepresentation - Negligent misrepresentation - The Hashams purchased a rental property from the vendor, through a real estate agent - The listing agreement stated the rents charged by the vendor - After closing, the Residential Tenancy Commission rolled back the rental rates which the vendor raised illegally - The Hashams had to pay back rent and sell the building - They sued the vendor, alleging negligent misrepresentation - The Ontario Divisional Court affirmed that the vendor's representation respecting the rents was a negligent and fraudulent misrepresentation - It did not matter whether the misrepresentation was made by the vendor or the agent - Further, the vendor owed a duty of care to the Hashams and there was reliance on the misrepresentation - See paragraphs 11 to 29.

Misrepresentation - Defences - Agreement excluding liability - The Hashams purchased a rental property from the vendor, through a real estate agent - The listing agreement stated the rents charged by the vendor, but the purchase and sale agreement did not and excluded liability for all representations outside of the contract's terms - After closing, the Residential Tenancy Commission rolled back the rental rates which the vendor raised illegally - The Hashams had to pay back rent and sell the building - They sued the vendor, alleging negligent misrepresentation - The vendor relied on the exclusion clause - The Ontario Divisional Court affirmed that this was a case of negligent and fraudulent misrepresentation and therefore the vendor could not rely on the exclusion clause - See paragraphs 36, 37.
