Summary:

The plaintiff subcontractor brought equi­table claims against the defendants arising from alleged fiduciary duties and the rela­tionship between the parties. The trial judge dismissed the action against both defendants on the ground that it was statute-barred. The defendants appealed.

The Yukon Court of Appeal dismissed the appeal.

Limitation of Actions - Topic 1905

Actions - General - Breach of fiduciary duty - Defence Construction Ltd. let a construction contract - Defence subcon­tracted the work to its subsidiary Bot - Bot subcontracted work to Nutaaq, who sub­contracted to Lamer­on - Upon completion, Nutaaq and Lam­eron claimed unpaid amounts - Bot offered Nutaaq $80,000, prompting Nutaaq to offer settlement of Lamerton's claim, which Lamerton refused - Nutaaq accepted Bot's offer and received payment - Nutaaq's claim under a labour and material payment bond was withdrawn by Nutaaq's grand­parent company (IRC) - Lamerton sued Nutaaq's principal employee and IRC, making equitable claims based on alleged fiduciary duties and the relation­ship between the parties - The Yukon Court of Appeal held that the limita­tion periods for both claims was six years.
