Summary:

The plaintiff, a physician and medical researcher, conducted clinical trials for a drug sponsored by the defendants. The plaintiff and the defendants disagreed on the underlying science and proper course of action in light of the plaintiff's concerns about the drug's safety. The defendants terminated the clinical trials. The plaintiff subsequently commenced several defamation actions against the defendants. The defendants counterclaimed against the plaintiff. The parties agreed to mediation. The defendants presented a counter-offer to settle the issues. The plaintiff accepted the counter-offer. Almost a year later, the defendants refused to enforce the agreement, claiming that there never was an agreement. The plaintiff moved to enforce the agreement.

The Ontario Superior Court, in a decision reported at [2006] O.T.C. Uned. 825, dismissed the motion. The plaintiff appealed.

The Ontario Court of Appeal allowed the appeal with costs to the plaintiff.

Settlements - What constitutes a settlement - The plaintiff, a physician and medical researcher, conducted clinical trials of a drug sponsored by the defendants - The plaintiff and the defendants disagreed on the underlying science and proper course of action in light of the plaintiff's concerns about the drug's safety - The defendants terminated the clinical trials - The plaintiff subsequently commenced several defamation actions against the defendants - The defendants counterclaimed against the plaintiff - The parties agreed to mediation - The defendants presented a counter-offer - It provided, inter alia, that both parties would provide statements in which they agreed not to disparage each other in the future and to express views about the drug only in scientific forums - The plaintiff accepted the counter-offer - Almost a year later, the defendants refused to enforce the agreement, claiming there never was an agreement - The plaintiff moved to enforce the agreement - The motion judge dismissed the motion - There was no meeting of the minds - Based on evidence provided by the defendants, the motion judge concluded that the counter-offer was conditional on elaboration of the words "disparage" and "scientific" - The Ontario Court of Appeal allowed an appeal - It was an error in principle for the motion judge to decide whether an agreement existed based on the subjective intent of one side to the bargain rather than on an objective reading of the counter-offer - Nothing in the counter-offer, either directly or indirectly, suggested that its terms were subject to further elaboration, documentation or agreement - The terms of the counter-offer were straightforward and unconditional - See paragraphs 41 to 51.
