Summary:
In 2001, the assignee of an instalment sales contract published its reserve of ownership after the purchaser went bankrupt and the property sold was taken over by the trustee in bankruptcy. The assignee filed a proof of claim, seeking possession of the property. The trustee rejected the claim. The assignee filed a motion in appeal.
The Quebec Superior Court, in a decision reported at [2002] Q.J. No. 410, dismissed the motion. The assignee appealed.
The Quebec Court of Appeal, in a decision reported at [2003] R.J.Q. 1434, dismissed the appeal. The assignee appealed.
The Supreme Court of Canada allowed the appeal.

Sale - Sale reserving title - Reservation of ownership - Publication of - In 2001, the assignee of an instalment sales contract published its reserve of ownership after the purchaser went bankrupt and the property sold was taken over by the trustee - The assignee filed a proof of claim, seeking possession of the property - The trustee rejected the claim - The Supreme Court of Canada ruled that the claim should have been allowed - The assignee's reserve of ownership could be set up against the trustee in bankruptcy according to the law applicable at the relevant time - The property sold did not become part of the purchaser's patrimony - Only the purchaser's rights vested with the trustee - The court noted that amendments made to the Bankruptcy and Insolvency Act since the relevant time would have led to a different result had they been applicable to this case.

Costs - Entitlement - Lawyer-client basis - The Supreme Court of Canada awarded costs on a solicitor-client basis to the unsuccessful respondent/trustee where the appellant brought before the court a broad issue relating to the law of bankruptcy and insolvency that went "far beyond" the individual interests at stake in this case, especially for the trustee - The trustee, through its counsel, played a helpful role in the conduct of the appeal and the analysis of the problems it raised - It would have been unfair to expect the respondent to bear the full burden of its participation in the case before the court - See paragraph 17.
