PARTNERSHIPS

This is the common business arrangement whereby two or more parties enter into a com-

mercial arrangement with a view to generating prof‌it. The existence of a partnership will

normally be signif‌ied by express declaration (e.g., a written partnership agreement) or it can

be inferred by conduct that demonstrates the existence of a partnership. The commercial

landscape is becoming increasingly more populated by LLPs (limited liability partnerships),

which are partnerships that have taken on some of the characteristics of corporations. This is

an area of provincial jurisdiction. Most provinces have legislation dealing with partnerships

and some (e.g., Ontario) have a specif‌ic act devoted to limited partnerships. Related topics:
