Preface
T    book lies in a conversation with my publishers,
Bill Kaplan and Je Mil ler. While I was proposing to write a book on
democracy, they persuaded me that it would be much better to con-
centrate on the pressing issue of corporate governance. I am grateful
to them not only for their initial encouragement and guidance but
also for their continued support and indulgence. ey are, in their
dierent ways, the best of taskmasters and friends.
As usual, many people have played important roles in helping me
to complete this book. Without them, it would be a much lesser eort
