PR EFACE
to the Second Edition
In the seven years that have passed since the publication of the f‌irst
edition of this work, Canadian courts and, in par ticular, the Supreme
Court of Canada, have continued to ref‌ine and develop the jurispru-
dence of the law of contracts. To some extent, Canadian contr act law
has followed its own unique path — t here can be no better illustr ation
than the novel approach now taken to the treatment of exculpatory
clauses — but, at the same ti me, it continues to draw support and in-
spiration from decisions of courts i n other common law jurisdictions.
Accordingly, I have again attempted to provide an analysis of the lead-
ing Canadian decisions, as well as developments of interest occurring
elsewhere. Work of this kind requires the much-appreciated support
of many others. I am especi ally grateful to colleague s at Osgoode Hall
Law School and Davies Ward Phillips & Vineberg LLP for suggestions
and stimulating conversation about contractual matters; to Jeremy Lar-
kins, JD II, Osgoode, for his splendid research assistance; and to my
