Summary:

The plaintiff held copyright in a publication called the "Coffee News". The defendants developed an identical publication called the "Flying Cow" after the plaintiff refused to do business with them as franchisees. The plaintiff sued for damages and injunctive relief for copyright infringement.

The Nova Scotia Supreme Court, in a judgment reported (2006), 239 N.S.R.(2d) 348; 760 A.P.R. 348, held that the defendants (except David Parks) deliberately infringed copyright and were liable in damages. The court granted injunctive relief and awarded $139,000 general damages and $100,000 punitive damages. The defendants appealed.

The Nova Scotia Court of Appeal, Saunders, J.A., dissenting only on the amount by which general damages should be reduced, allowed the appeal in part. The court affirmed liability, reduced general damages by $4,000 and reduced punitive damages from $100,000 to $40,000.

Infringement of copyright - General principles - Substantial similarity or substantial copying - The plaintiff franchised its copyrighted and trademarked publication (Coffee News) throughout Canada - Franchisees obtained advertising revenue and distributed free copies to restaurants, etc. - The plaintiff refused to do business with the defendants - The defendants surreptitiously commenced publishing the "Flying Cow", which was identical in design, form and format to the Coffee News - The defendants misrepresented to business owners that the Flying Cow was a sister publication of the Coffee News, rather than a competitor - The plaintiff lost, inter alia, advertising revenue - Copies of the Coffee News were removed from shelves by some of the defendants and replaced with the Flying Cow - Some business owners were persuaded to switch to the Flying Cow - The trial judge held that the defendants deliberately violated the plaintiff's copyright with a deceitful scheme to replace the Coffee News with the Flying Cow, using the plaintiff's goodwill and reputation - The defendants were also guilty of passing off - The plaintiff suffered economic loss - The judge granted injunctive relief and awarded $139,000 general damages and, because of the defendants' highly reprehensible conduct, $100,000 in punitive damages - The Nova Scotia Court of Appeal affirmed liability for copyright infringement and passing off - The court reduced punitive damages to $40,000, as $100,000 exceeded rational limits - Notwithstanding the paucity of evidence supporting the general damage award, the court affirmed the award with the exception of a $4,000 reduction - Saunders, J.A., dissenting on this point only, would have further reduced general damages to $70,500 given the lack of evidence supporting a higher award - See paragraphs 36 to 155.

Trademarks - Unfair competition - Passing off - The Nova Scotia Court of Appeal stated that "to establish a claim of passing-off the claimant must show three things. First, the plaintiff must establish a goodwill or reputation attached to the goods or services by virtue of its 'get-up', whereby the public has come to identify such an appearance with the wares or services of that individual, thus creating a proprietary right in that appearance. Second, the plaintiff must establish a misrepresentation by the defendant to the public (whether intentional or not) leading or likely to lead one to believe that the goods or services offered by the defendant are the goods or services of the claimant. Third, the plaintiff must demonstrate that he has or likely will suffer damages by reason of the erroneous belief engendered by the defendant's misrepresentation that the source of the defendant's goods or services is the same as the source of those offered by the claimant." - See paragraph 48.
