Summary:

The plaintiff corporation brought a contract action against the defendants. The defendants applied under s. 254 of the Business Corporations Act and rule 4.22 for an order that the plaintiff provided $50,000 security for costs. At issue was whether both s. 254 and rule 4.22 applied to the application, or whether only s. 254 applied.

The Alberta Court of Queen's Bench dismissed the application. Only s. 254 applied. The defendants failed to satisfy the court that the plaintiff, if unsuccessful, would be unable to pay any costs award. In any event, the court would not have exercised its discretion to order security for costs where the defendants failed to file the application at the earliest opportunity.

Costs - Security for costs - General principles - Where plaintiff is corporation or association - The plaintiff corporation sued the defendants - The defendants applied for the plaintiff corporation to post security for costs - Section 254 of the Business Corporations Act provided that where a corporation was a plaintiff, and it appeared that the corporation would be unable to pay costs to a successful defendant, the court "may" order security for costs - Rule 4.22 also empowered a court to award security for costs if the plaintiff was unable to pay any costs award and after consideration of other matters (eg., likelihood of enforcing judgment, merits of the action, prejudice to ability to continue action, any other matters considered appropriate) - The Alberta Court of Queen's Bench dismissed the application - Only s. 254 applied - The defendants failed to satisfy the court that the plaintiff, if unsuccessful, would be unable to pay any costs award - The plaintiff had sufficient exigible assets in Alberta to pay a costs award - In any event, the court would not have exercised its discretion to order security for costs where the defendants failed to file the application at the earliest opportunity - The defendants waited until the eve of the trial, six years after the action was commenced, to apply for security for costs.
