Summary:

Alsager, one of the two directors of the plaintiff American company, allegedly owed monies to the plaintiff. The other director (Prince) caused the company to sue the de­fendant director in debt. There was no board of directors meet­ing authoriz­ing the suit, nor did Alsager consent to it. Alsager applied to stay the action on the ground that it was com­­menced with­out proper auth­oriz­ation.

The Saskatchewan Court of Queen's Bench, in a judgment reported 143 Sask.R. 315, allowed the application and stayed the action, because it was unauthorized. Four years later, the plaintiff applied to lift the stay and Prince sought an order permitting him to bring a derivative action against Alsager on behalf of the plaintiff.

The Saskatchewan Court of Queen's Bench held that it had no jurisdiction to lift a stay imposed by another Queen's Bench judge. That request should have been made to the Court of Appeal. Further, since the plaintiff was incorporated in Texas and not under the Saskatchewan Business Corporations Act, the

court lacked jurisdiction to hear the applica­tion for a derivative action.
