PR EFACE
Secured tran sactions under the Personal Property Security Act (PPSA)
are at the forefront of commercial law in both law faculty curricula
and legal practice in common law jur isdictions of Can ada. This book
responds to what the authors believe to be a long-sta nding need for
a comprehensive treatise on secured f‌inancing under the Act. Other
publications in the f‌ield, including our ow n, have tended to focus on
the PPSA of a particular province or adopted an annotative or section-
by-section commentar y style. Although the se approaches are valuable,
we felt that a Canada-wide t reatise style t reatment would convey more
effectively the interrelationship among the various part s of the Act as
well as the essent ially unitar y character of secured lending law in all
PPSA jurisdictions. While we offer detailed analysis of the substantive
differences among the var ious Acts, our initial instinct that a compre-
hensive presentation was fea sible for most issues worked out remark-
ably well in the writi ng of this book. One of our goals in adopting th is
approach was to contribute to the continued harmonization of the law
in this area by encouraging a vision of PPSA law, including judicial
precedent, as generally borderless in character.
This book is essent ially a doctrin al work. We have identif‌ied the
policy rationales for particular provisions where relevant to thei r inter-
pretation and we have included the occasiona l call for reform of particu-
lar areas. Nonetheless, t he book does not analyze, let alone challenge,
the broader underlying economic or social theory of secured lending.
Our goal was to present what we hope to be an accurate and complete
account of the current state of the law of secured transactions under
the PPSA. We trust it will prove to be ver y valuable to law students
and law professors for the purposes of both introductory and advanced
courses in secured t ransactions. However, our intended readership goes
